STATEMENT OF WORK / TERMS AND CONDITIONS

Introduction

1. This Statement of Work Terms explain how you may register for an account and purchase a SupplyPro Certification subscription. By purchasing a subscription Hyphen Solutions will give you access to the Hyphen Solutions SupplyPro Certification Testing Website. Before your account is activated you will be asked to agree to these Terms. By activating your account you irrevocably agree to be bound by these terms. If You have any questions about any of our terms, please contact us at any time.
2. Our terms are only available in English. No other languages will apply to them.

Method of Payment

1. Payment for Certifications shall be in the form of an invoice. After completing the contact information above, place a checkmark in the “Agree to Proceeding Terms and Agreements” checkbox, then click the “Buy Company Plan” button. After doing so, you will receive a successful completion notification.
2. Within 48 hours of receiving your request (Saturdays, Sundays and holidays not included) you will receive the hyperlinks to your certification exams.
3. Shortly afterword’s you will receive an invoice via mail or eMail asking you for the payment in full, for your year’s subscription. At this time, there will be no payments taken online.

Details of Service

1. Hyphen Solutions LLC shall provide subscriber with online subscriptions to SupplyPro software products certification testing
2. Software testing shall include, but not be limited to:

   SupplyPro Gold Certification Testing

   SupplyPro Certification Testing and

   SupplyPro Field Management Services Certification Testing

3. To receive one of these certifications the person taking the exam(s) must achieve passing score. A passing score is defined as the successful answering of 80% of the examinations questions correctly.
4. Each exam is restricted to a specified time period in which the exam taker must complete the exam. For Gold certification exams, the exam taker is given a 3 hour time period in which to complete the exam. For all others, the exam taker is given a 2 hour time period in which to complete the exam.
5. Once an exam is started it may not be placed on hold and continued at a later date.
6. Exam takers must have a stable and reliable internet connection. Any inadvertent disconnection due to poor internet conditions may be addressed individually by contacting Hyphen Solutions using the contact methods provided within the "Method of Payment section of this document".
7. Each Certification Exam will be unique for each exam taker. Questions will be taken from a pool of related exam specific questions. Order and sequence for all questions and answers will be randomized for each exam taker.
8. Each exam may be taken by each student 2 times during a 90 day period. If the exam taker does not achieve a passing score after 2 attempts, s/he must wait 90 days to take the examination(s) again. To reset the exam at the end of the 90 day period, the examination taker must contact Hyphen Solutions using the contact information provided within the "Method of Billing" section of this document.
9. The number of examination questions will vary depending on the specific examination topic.
10. All questions will be comprised of True/False, Multiple-Choice and Single Choice questions.
11. Subscribers Exam Administrators shall be provided online access to student progress, in the form of reports and statistics to assist in the analysis of a students progress.
12. Upon request, the Subscribers Exam Administrators will receive eMail notifications upon the completion of a certification exam from one of their exam takers. These notifications will include details as to Completion Status, Score and a breakdown as to the specific questions the exam taker answered correctly and those that were answered incorrectly.
13. Exam takers will instantly and electronically receive notification of Pass/Fail status, Certification if exam was passed successfully and a report of questions answered correctly and those that were answered incorrectly.
14. Upon written request, SSL encrypted secure connections may be provided to subscribers.
15. Hyphen Solutions shall provide subscriber with exam support no later than 24 hours after initial contact to the Hyphen Solutions, excluding weekends and holidays
16. SupplyPro certification subscriptions cost a flat fee of $25 a year and gives the subscriber unlimited online access to the previously mentioned certification exams. There is no limitation as to how many people may take the exam(s).
17. Subscription periods shall last a period of 12 months, which will not automatically renew unless specified in writing prior to the subscription end date.
18. Hyphen Solutions reserves the right to change the conditions of the subscription service however will notify subscribes of any changes prior to doing so at a minimum of 31 days in advance. If the subscriber does not agree with the changes s/he may terminate the contract without penalty and will be reimbursed the subscription fee for the remaining portion of their contract.

1. Your use of our site is governed by our Corporate Website Terms of Use, Privacy Policy and Cookie Policy. Please take the time to read these, as they include important terms which apply to You.

1. Where any Product is made available for access or downloading from the site, this is our copyrighted work. You may only use such products in accordance with these terms. All such products are made available for access or downloading solely for your professional use in a commercial manner unless otherwise agreed by us in writing. Any reproduction or redistribution of any product not in accordance with these terms is expressly prohibited, and may result in severe civil and criminal penalties.
2. Hyphen Solutions' Certification program, its data, including exam questions or answers, or any other component thereof may not be shared with, repackaged and/or resold to a third party without the explicit written consent of Hyphen Solutions. Failure to comply may result in immediate revocation of subscription services with monetary refund as well as legal actions.

Handling of Personal Data

1. Under no circumstance will your personal data or any exam takers data be sold or freely given to any third parties, including companies or individuals.
2. Website cookies may be collected and used for tracking purposes only but never for sold, re-sold or given to any third parties for monitory gain or any other reason.

Events Outside Our control

1. Hyphen Solutions will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under the terms, that is caused by an Event Outside Our Control.
2. Events Outside Our Control is defined as any act or event beyond our reasonable control, including without limitation strikes, lock-outs or other industrial action by third parties, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster, or failure of public or private telecommunications networks.
3. Events Outside Our Control will not constitute a full or partial refund of monies for subscribers.
